Alyson has a wide range of experience in corporate transactional matters, with particular emphasis on technology agreements (particularly in the healthcare sector), sourcing arrangements, and a variety of other complex commercial transactions.

In addition, Alyson has formed and obtained federal and state tax-exempt status for numerous non-profit entities.

Alyson's experience includes the following:

  • Sourcing

    • Negotiated call center services agreements on behalf of leading health system.
    • Negotiated full IT outsourcing arrangement for leading health system.
    • Represented health system with claims processing outsourcing transaction.
    • Assisted major automobile manufacturer with IT outsourcing transactions.

  • Healthcare

    • Provides ongoing contract drafting, negotiation assistance, and strategic advice to several leading healthcare systems.
    • Negotiated several agreements with Epic Systems corporation to obtain electronic medical records (EMR) software on behalf of leading hospitals.

  • Technology Transactions

    • Drafted and negotiated numerous license agreements, services agreements (e.g., software maintenance), and similar.
    • Considerable experience with website terms of services and privacy policies.
    • Assisted multiple pension systems with technology contracting needs, including pension system acquisition and implementation.

    Non-Profit / Tax Exemption
    Obtained exempt status for and otherwise advised numerous non-profit organizations, including:
    • A charity intended to provide assistance to Afghan-Americans interested in higher education;
    • A disaster relief charity founded by a prominent actor and filmmaker.A charity that promotes social development in India through providing girls with opportunities to participate in team sports;
    • An organization providing support for survivors of breast cancer;
    • A charity providing movement-related services to individuals with Parkinson’s disease;
    • Religious organizations;
    • An organization providing micro-lending assistance to communities in San Francisco;
    • A charity founded by a major singer-songwriter intended to support peacemaking; and
    • A faith-based organization providing addiction rehabilitation services.
